BYLAWS OF THE COUNTRY DANCE CLUB Last amended: July 27, 2009 SECTION I: GENERAL 1. The Country Dance Club (CDC) is a non-profit association formed in April 1988 under the name of Washington County Chapter APCDA, which by a majority vote of the membership was changed to Country Dance Club on January 23, 1995, and new bylaws written herewith and approved by the general membership. Our sole purpose is to promote country & western dancing. All members will be expected to conduct themselves in a respectable manner and are subject to all Country Dance Club bylaws and regulations. (Note CDC will be replaced with the following choices of verbiage: the dance club, the club, or dance club going forward in this document) Revised 4-30-00 / 5-1-06 2. The dance club membership shall consist of dues paying members. In order to hold or retain office as a member of the board of directors or as elected club official, members must hold and retain their status as dues paying members. Revised 4-30-00 3. New members shall be granted voting privileges for all issues or elections after 90 days have passed since joining the dance club. Revised 4-30-06 4. Membership dues shall be $15.00 per year, to become effective for all dues paid for the year 2001. Renewal dues shall be paid on or before January 31, each year. Memberships must be renewed prior to any January meeting. Members can renew their memberships at any time prior to voting. For members joining after January 31st, the member shall have the option of paying $15.00 for a normal membership, or $15.00 plus $1.25 per month for each remaining month of the year and receive a membership good through December of the following year. Members may also purchase a lifetime membership for $150, which never expire. Lifetime members shall be assigned a permanent lifetime number by the Club Secretary. All monies collected by the dance club, whether from dues, donations, or otherwise, shall be used for the operating expenses, capitol improvements, or for furthering the purposes of the club. Revised 2-25-07 / 6-25-00 / 8-29-05 5. It shall be the responsibility of the secretary of the club to insure that membership numbers are properly assigned. Each member will retain his/her original membership number unless the membership is revoked or lapses by nonpayment of membership dues. If a member is reinstated by the payment of dues, a new membership number will be assigned as though the member were submitting his/her initial membership dues. The board of directors may, by majority vote, make an exception regarding the status of members who rejoin the club if the board deems it necessary. 6. The president shall convene and chair meetings of the membership to discuss whatever the local members desire relating to dance club business. An election, to vote on new club officers, must be held in January. Any member may bring up business to be discussed at membership meetings. The membership shall have complete authority to change regulations of the dance club, so long as the regulations do not specifically violate bylaws. Each member in good standing shall have one vote, and a majority vote (one more than 50%) shall be sufficient to approve any item except such business specifically excepted by the bylaws. A quorum shall consist of three or more members present in person. Revised 4-30-00 / 7-27-09 7. Proposed amendments to the bylaws must be submitted in writing to the historian of the club at least 30 days prior to a membership meeting and posted on the club bulletin board. Any member may submit proposed changes to the bylaws. The written proposal must contain the exact language proposed, and the entire section to be changed must be written out in full, Bylaws must be approved by a 2/3 vote of the bylaw committee present before being sent to a general membership meeting. Membership meetings will be held at least once each calendar quarter. Meeting dates shall be posted 30 days prior to the meeting and shall be set by the president. Posting on the club bulletin board shall constitute notice of a meeting. Revised 6-25-00 / 04-16-02 8. Any expenditure of more than $ 250 for a single purpose must have the approval of the membership at a regular membership meeting. In addition, any expenditure of more than $1,000 for a single purpose must have the approval of the board of directors as well as the membership. "Single purpose" means that multiple expenditures, all directed at the same thing (e.g. a party, or a dance contest), must be considered as one expenditure and approved according to the method outlined by this bylaw. The board of directors may, by a 2/3 vote; approve a priority expenditure of up to $1,000. Revised 11-22-98 9. Absentee voting is allowed for members who have had memberships for 90 consecutive days prior to the election or vote for which the absentee ballot is being submitted. To submit an absentee ballot or vote, the member must clearly indicate in writing the issue or election for which the absentee ballot is being submitted, clearly indicate the voting intentions of the member, put it in a sealed envelope, and sign across the seal. The ballot must be submitted to the club secretary prior to the vote or election. Revised 4-30-00 10. Proxy voting will not be allowed. 11. Regulations may be approved by majority vote of the membership. The board of directors may, by majority vote, invalidate any regulation it deems to be in conflict with the bylaws, and in such cases shall inform the historian of the invalidation. Revised 4-30-00 12. All rules, regulations or bylaws approved by the membership or board of directors prior to January 1, 1995, are hereby revoked. 13. Upon the board of director's decision to cease operation and disband, there shall be no further expenditures of the dance club monies except to pay current indebtedness. Adopted 7-12-98 14. All meetings of the board of directors shall be open to the dance club membership. All dance club members shall have the right to speak and participate in the meetings. Only board members shall have the right to make a motion or amend a motion, and only board members may vote. Adopted 6-13-99 Revised 04-16-02 15. The mission of the country dance club shall be to provide an opportunity for its members to have fun, by gathering socially for various functions and events, and to further country & western dancing by providing affordable dance instruction to the general public. Revised 4-30-00 16. The work of the dance club shall be done by its members on a volunteer basis, and no member shall be compensated monetarily for work done at, or on behalf of, the dance club. The membership may, by vote of 90% of the membership present at an official meeting, make exception to this bylaw. Revised 4-30-00 17. This bylaw is hereby repealed. SECTION II: RESPONSIBILITIES AND AUTHORITY OF THE BOARD OF DIRECTORS
1. Board of Directors. The board of directors shall oversee the work of the officers and the members of the dance club, and see that the club and its members fulfill the club's stated purpose and follow the bylaws, rules and regulations approved by the membership. The directors shall be responsible to the membership to monitor the operation of the organization to ensure that no violation of the bylaws goes undetected. Seven directors shall serve a one year term elected each February. Revised 4-30-00/ 8-29-05/4-30-06 2. Expenditures: Club expenditures of more than $1,000 for a single purpose must be approved in advance by the board of directors, as well as by the membership. 3. Board of Directors/Meetings: The chairman of the board of directors shall convene and chair meetings of the board. However, the board must meet within 30 days of a board election for the purpose of electing officers. Attendance by a majority (more than 50%) of the directors shall constitute a quorum. Special meetings may be called by the chairman at any time, and must be called by the chairman within 30 days of a request (written or verbal) by any three directors. The chairman must set a date and time for the meeting that will reasonably allow directors the opportunity to attend without missing work. Directors must be given at least ten days notice (written or verbal) of any special meeting. The postmark of a written notice shall determine the notice's date of delivery, and any director may give official notice to other directors. All minutes of the board meetings shall be posted on the dance club bulletin board. Revised 6-25-00 4. Board of Directors/Priority votes: Any director may, in cases where a decision of the board must be made quickly, call the chairman for a vote on the matter verbally or by telephone to the individual directors. The measure in question must be voted "yes" by at least 2/3 of the directors on the board in order to be approved. The chairman shall report on the matter at the next board meeting. If any director requests, a measure approved in this manner must be re-approved at the next regular or special meeting of the board in order to remain in effect. Revised 4-30-00 5. Board of Directors/Officers: The board of directors shall, by majority vote, annually elect from among themselves members to serve as chairman, vice-chairman, secretary, and treasurer, who shall rank in that order. A. The chairman shall be responsible for calling and conducting meetings of the board of directors. He/She shall take the lead in overseeing the activities of the club officers to ensure their actions are in accordance with the bylaws and regulations of the country dance club. B. The vice-chairman shall take the chairman's place in the chairman's absence. C. The secretary shall take the minutes of all board meetings and report on the minutes of previous meetings. D. The treasurer shall oversee the financial status of the country dance club, and ensure that the club treasurer fulfills his/her duties properly. No club member may hold both treasurer offices concurrently. Revised 4-30-00 / 04-16-02 6. Vacancies: If a vacancy should occur among the officers of the board of directors, the directors shall elect a replacement at the next board meeting. The highest-ranking director shall call a meeting for the purpose of filling the vacancy. After the officer positions, rank shall be determined by continuous length of membership in the club. The member with the longest continuous membership shall have the highest rank. 7. Directors/removal: Directors who miss any board meetings without contacting a board officer is subject to losing their position on the board. A director will automatically be removed for allowing his/her club membership to lapse. A director may be removed by 2/3 vote at a meeting of the membership for any of the following: frequent absences from the board meetings and membership meetings; not attending and actively participating in at least one night a week that the club officially conducts dance lessons; or for any conduct, in the sole view of the members, unbecoming a member of the dance club. Any director position declared vacant may be temporarily filled by a majority vote of the remaining directors. Regardless of a temporary appointment, the position must be filled at the next February election, and any member so elected will fill only the un-expired term of the vacant position. Any director removed by the members retains membership in the club. Revised 6-25-00 8. Membership revocation: The board shall have the authority to reprimand or suspend any club member for actions deemed harmful to the image or purpose of the dance club. This authority may be exercised only after the board has recommended in writing a course of action to resolve the matter and only after the recommendation has been rejected or obviously ignored by the member in question. SECTION III: RESPONSIBILITIES AND AUTHORITIES OF ELECTED OFFICERS
1. Election of local club officers shall be held annually each January by secret ballot, on a date to be determined by the president. The local club officers shall be; president, vice-president, secretary, treasurer, and historian and shall rank in that order. Revised 1-09-99 2. Office of the President: A. The president shall be responsible for, but not limited to, the following: 1. Conducting scheduled meetings 2. Instructing committees on their responsibilities 3. Setting and arranging the time and place for meetings 4. Any other duties as directed by the Board of Directors B. The president has authority to: 1. Call special meetings 2. Authorize, with or without club or board approval, monies up to $250 per occasion to be spent for the benefit of the dance club and all members equally. Additional monies in amount over $250 can be authorized with club or board approval Revised 6-13-99 3. Direct officers and committees in the dispatch of their respective responsibilities 4. Commit dance club support to any function deemed beneficial to the organization 5. Appoint and remove committees and committee chairpersons 6. The president shall be a co-signature on the dance club checking account Adopted 06-14-02
3. Office of Vice-President: The vice-president shall act as president when the president is not able to perform his/her duties, such as when the president is traveling out of town or is not able to be located. 4. Office of Secretary: A. The secretary is responsible for recording and maintaining the minutes of all official club meetings B. If requested by any member at the start of the membership meeting, the secretary shall read the minutes of the previous meeting C. The secretary is responsible for keeping accurate and up-to-date files and records regarding club active membership, functions, and correspondence of the dance club. Revised 7-12-98 D. The secretary is responsible for assisting other officers and committee chair persons on any reasonable requests in furtherance of the goals of the country dance club. E. The secretary shall be a co-signature on the dance club checking account. 5. Office of Treasurer: A. The treasurer shall maintain all monies of the dance club checking account, and other interest-bearing accounts as directed by the board of directors. The treasurer shall disburse funds as directed by the president. 04-16-02 B. The treasurer shall maintain the books of the dance club, and shall present, upon request, an accounting of the income and expenses of the dance club. C. At each membership meeting, the treasurer shall report on the financial standing of the club. D. Each month, the treasurer shall post a collection and expenditure report showing the total monies collected and total spending for the calendar month. The report should not show any account balance. 6. Office of Historian: A. The historian is responsible for recording, in writing, the regulations, bylaws, rules and regulations, of the dance club, as approved by the membership. Revised 4-30-00 B. The historian shall be responsible for getting a copy of all proposed bylaw changes to all members of the board of directors prior to the membership meeting. Revised 4-30-00 C. The historian shall be responsible for maintaining a list of regulations approved by the members and shall furnish the list to the board of directors upon request from the Board. Revised 4-30-00 D. The historian has the right to change any grammatical errors in the bylaws as long as the change does not change the meaning of the bylaw. Adopted 6-25-00 E. The historian shall call all bylaw committee meetings. All meetings shall be posted on the club bulletin board for at least 10 days. Adopted 6-25-00 7. Removal of officers: Officers who miss three (3) consecutive membership meetings without sending a written explanation of absence to the secretary of the club will automatically lose their officer's position (but not their membership). An officer will automatically be removed for allowing his/her club membership to lapse. An officer may be removed by majority vote (more than 50%) of the board of directors for any of the following; frequent absence from membership meetings, absence from more than 50% of club functions over a 90 day period, or for any conduct, in the sole view of the Board, unbecoming a member of the country dance club. 8. Vacant offices: If at any time a club officer, other than president, resigns or is removed from the office, the president shall appoint a member to serve the remainder of the term. If either the office of Treasurer or the office of Secretary becomes vacant, or both, the President may appoint one person to handle both offices. If a president resigns or is removed from office, the vice-president shall assume the duties of president and the vice-president's office shall be left vacant until the next January election. If both the offices of president and vice-president become vacant, the chairman of the board of directors, or in absence of a chairman, the highest ranking director, shall temporarily assume the office of president, give notice of the vacancies and call a special election. If all officer and director positions are vacant, the highest-ranking member (determined by continuous length of membership) shall temporarily assume the office of president and call a special election. Officers elected in a special election shall have terms equal to the remaining term of the officers who were replaced. Revised 7-27-09
